In it, you get a CD that contains the Rio software, a warranty card and instructions.
The other package contains accessories for the Rio Forge.

Accessories
At the top of the picture, you'll see the spoon clip earbuds. These are rather
good quality earbuds as opposed to the stock earbuds that comes with other portable
audio devices. In fact, these are great earbuds! 
Rio was also nice enough to include an Energizer AAA battery in the package. That, along with the fact that the Forge comes preloaded with some songs in it, makes the player completely usable straight out of the package. On the right side of the picture is the USB cable that is used to connect your player to the PC.
Last of all, at the bottom of the picture is the arm strap for you to strap
the Forge onto your arm when you're working out.
